1.Acceptance of Terms

By accessing or using any website, application, or tool operated by Timm Johnson AI Consulting LLC, doing business as Dakota Intelligence, you agree to these Terms of Service. If you do not agree, please do not use our services.

2.Services Provided

Dakota Intelligence provides AI consulting, workforce training, workflow automation, voice agent development, web and digital presence services, educational resources, and AI-powered assessments to South Dakota businesses and organizations. Our services are advisory and implementation in nature.

3.AI-Generated Content Disclaimer

Some content and recommendations delivered through our platforms are generated or assisted by artificial intelligence tools, including but not limited to Claude from Anthropic, models from OpenAI, and other AI systems.

4.No Guaranteed Outcomes

Any figures we discuss regarding revenue, leads, search rankings, hours saved, cost reduction, efficiency gains, or return on investment are good-faith estimates based on the information available to us at the time. They are illustrations of what is possible, not promises of what will happen.

Business results depend on factors outside our control, including your team's adoption of the tools, market conditions, your existing systems and data quality, and decisions made after our engagement ends. Nothing in a proposal, assessment, presentation, ROI model, or conversation constitutes a guarantee of any specific business outcome.

5.Government Funding Programs

Dakota Intelligence provides services that may be eligible for reimbursement or cost-share under government funding programs, including the South Dakota Department of Labor and Regulation AI Adoption Workforce Funding program.

We can help you understand how our services map to a program's categories, and we can produce the documentation and deliverable records you need for your application or reporting. What we cannot do is speak for the agency. Eligibility determinations, award decisions, and reimbursement are the agency's alone, and their published rules govern. Always confirm program details directly with the administering agency before making a financial decision based on expected funding.

6.No Warranties

Our services, tools, and assessments are provided "as is" without warranty of any kind, express or implied. We do not guarantee that our tools, assessments, or AI systems will be error-free, uninterrupted, or suitable for any particular purpose.

7.Limitation of Liability

To the fullest extent permitted by South Dakota law, Timm Johnson AI Consulting LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services, tools, or AI-generated content.

8.User Responsibilities

You agree to:

• Provide accurate information when submitting forms or interacting with our AI assistant, Ava
• Use our tools only for lawful business purposes
• Not attempt to reverse-engineer, scrape, or exploit our applications or AI systems
• Not submit false, misleading, or harmful content through any of our tools
• Maintain your own backups and access credentials for systems we help you build or configure

9.Intellectual Property

All content, branding, system architecture, methodologies, and AI application designs published under the Dakota Intelligence brand are the intellectual property of Timm Johnson AI Consulting LLC. Unauthorized reproduction or commercial use is prohibited.

Ownership of work product created specifically for a client under a custom build or development engagement is governed by that engagement's signed agreement, not by this section.

10.Payment Terms

Services requiring payment are subject to separate service agreements or invoices. Stripe is our payment processor. Refund policies are stated at the time of purchase. Consulting retainers are non-refundable after services have commenced unless otherwise agreed in writing.

Funded engagements. Where an engagement is expected to be reimbursed or cost-shared by a government program, the client pays Dakota Intelligence in full according to the invoice terms. Any reimbursement comes from the administering agency directly to the client, on the agency's schedule. Payment to us is not contingent on the client receiving an award, on the award amount, or on the timing of disbursement.

11.Governing Law and Dispute Resolution

These terms are governed by the laws of the State of South Dakota. Any dispute shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration in Davison County, South Dakota, under applicable state arbitration rules.

12.Modifications

We reserve the right to modify these terms at any time. The effective date shown at the top of this page reflects the most current version. Continued use of our services constitutes acceptance of any modifications. Terms in effect at the time a signed engagement began continue to govern that engagement.
